CTMedia Studios Web Design Contract

For your security and mine

This is the contract typically used. Some of this can be negotiable.

Please contact me for details if you have questions regarding it. No work will begin until:

  1. We have both signed the contract and each have copies of it
  2. I have received the first half of the agreed upon payment.

AGREEMENT FOR WEB DESIGN

1. Authorization. The client, (Name) , at (Address) , authorizes CTMStudios at www.ctmediastudios.com (herein referred to as the “web designer”) to develop a web site for (Client Name) . (herein referred to as the “client”). The client authorizes the web designer to access their web host server to upload and download files as needed from the client directory for the purposes of creating a web site. The client authorizes use of their logo and all brand identification in the creation of the web site. The client also authorizes the web designer to submit their site to search engines and any other directories requested by the client for marketing purposes. If necessary, the client authorizes the web designer to purchase a domain, stock photography, and any other services or materials required for the express purpose of the creation of the client’s web site.

2. Estimate. The following is an estimate for services to be rendered. Half of the payment is due to the web designer with receipt of this contract. Final bill will be mailed to the client upon completion of the project. Final cost may be more or less than this estimate. Before the cost of the estimate is exceeded, client will be notified via email and approval will be requested; approval must be submitted in writing. Estimates are based on a flat rate fee of fifty dollars ($50) per hour; time is rounded to the nearest quarter hour.

Time required to make changes to web site after the web designer has already received previous client approval will be added to final bill.

3. Completion Date. The web designer agrees to have client site completed no later than six months after the signing of this contract by the client and the web designer. This deadline will be reached only if the client has provided all necessary graphics and text content to the web designer within 4 months of contract execution. Web designer shall not be held responsible for delays to site development arising out of client’s delays in providing graphics and text to web designer. If web site is not completed in six months due to lack of client assistance, web designer may close the project and bill client for work completed.

4. Fees. If the client does not supply the web designer complete text and graphics within five months of the date this contract is signed, web designer has the option to create a web site using all content that has been provided, and send a final bill as work completed, to meet the project deadline. The client’s site will not be submitted to search engines and directories until the web designer has received final information from client and client and web designer agree that site is ready for submission. No work will begin on the client site until this contract is signed by the client and received by the web designer. If the client halts work on the web site by certified mail and applies for a refund within 10 business days, work completed shall be billed at an hourly rate of $50 per hour. If, at the time of request for refund, work has been completed beyond the amount of work paid for by the initial payment, the client shall pay for work completed. No portion of this initial payment shall be refunded to client unless written application is made within 30 days of signing this contract.

5. Other Electronic Commerce Business Relationships. The client understands that the web host, credit card processing services and any other businesses not owned by the web designer are separate from the web designer contract and are a separate business entity from the web designer. The client understands that web designer has no control over functionality or availability of web site due to the actions or inaction of the web host server, credit card processing, online banking and any other business services the client uses to transact business over the Internet outside of the web designer. The web designer makes no representations, warranties or guarantees for any recommendations of other Internet business partners.

6. Copyright. The client represents that all graphics and text including logos, trademarks and photos provided to the web designer are owned by (Client Name) and do not violate United States copyright law. Client agrees to hold CTMStudios harmless from any and all liability, claims or causes of action arising out of use of the content provided to her by the client. All content created by the web designer and/or her subcontractors for the client are the property of the client. Client hereby grants to the web designer the right to use the work for demonstration of past work performed via portfolio. Web Designer must first secure the written permission of Client to use the material in any fashion other than in a portfolio.

7. Sole Agreement and Amendment. This contract constitutes sole agreement between the web designer and the client and hereby voids any prior verbal contracts. This agreement may be amended, in writing, by the parties at any time.

8. Guarantee. The web designer makes no representations or guarantee as to the amount of traffic to the client’s site or interest generated in the client’s site. The web designer makes no representations and does not guarantee an increase in client sales nor promise top listing in any search engine or directory. The web designer will use her best efforts to perform under the contract, and makes no representation or guarantee that the site will be accessible by all browser and operating systems.

9. Electronic Commerce Law. The client agrees that the client is solely responsible for compliance with federal and/or state laws regarding any electronic commerce conducted through their web site and will hold harmless the web designer and her subcontractors from any claim, causes of action, penalty, tax, and/or tariff arising from the client’s use of electronic commerce.

10. Confidentiality. CTMStudios and any subcontractors understand that they will be working with confidential client information and will only release this information to parties directly involved in web site creation. Client authorizes designer to release information to third parties requiring access for site creation. This includes, but is not limited to, web site and email address userids and passwords, trade information, and banking information should the client request online shopping. Upon web site completion, client will change any banking passwords web designer has had access to. If client chooses not to retain CTMStudios for web site maintenance, client will change ftp, email, and any other passwords web designer has had access to. Client will hold web designer harmless should breach of security occur if client has not changed business passwords.

11. Cancellation of Design Project. The web designer reserves the right to refuse service and cancel a design job if necessary, in which case, the balance of the initial payment will be returned to client after all applicable fees have been deducted for work completed. Likewise, the client may cancel a job if necessary, in which case, the balance of the initial payment will be returned to client after all applicable fees have been deducted for work completed.

The undersigned agrees to these terms on behalf of his or her organization or business. The undersigned represents that he/she is fully authorized to sign this agreement on behalf of the organization or business represented, and that the business entity represented is bound by this agreement.

12. Continuing Web Site Maintenance. No agreement for continuing web site maintenance and marketing is contained in this contract. No web site maintenance or marketing will be performed by designer unless all parties reach an agreement to do so and all parties sign a web site maintenance or marketing agreement.
